RELEASES

For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the undersigned (“Licensor”) hereby grants to Entertainment One Reality Productions, LLC (“Producer”) and its successors, licensees and assigns, the full and complete right to use: those certain materials attached hereto and submitted as part of Producer’s casting process (the “Licensed Material”) in and in connection with the unscripted television production currently entitled “Squished” (working title) (the “Production”), any other production, and in and in connection with advertisements, promotions, publicity and other material relating to the Production or such other production.

The rights herein granted shall extend to and include Producer’s use of the Licensed Material in any and all manner and media whatsoever, whether now known or hereafter devised, throughout the universe in perpetuity, free and clear of any and all claims for royalties, residuals, or other compensation.
Producer shall have the sole right to determine the manner in which the Licensed Material shall be used pursuant to this agreement, and Producer shall not be obligated to use the Licensed Material as part of the Production or otherwise, or to broadcast or otherwise exhibit or exploit the Production.
Licensor hereby warrants and represents that it is the sole owner or holder (or the authorized representative of the sole owner or holder) of the rights granted herein, including, but not limited to any and all copyrights, trademarks, and rights in the likenesses of any people (if any) depicted in the Licensed Material, that it is authorized to enter into and execute this agreement, that nothing of value apart from the Licensed Material was given (or was agreed to be given) to Producer or any other person or entity in exchange for use of the Licensed Material in the Production, that the consent of no other person or entity is required to enable Producer to use the Licensed Material as described herein, and that such use will not violate the rights of any third parties.
The parties agree to indemnify and hold free and harmless to the fullest extent permitted by law, the other party, each of their respective parent, subsidiary, and affiliated organizations, and each of their respective agents, employees, successors, licensees and assigns, from and against any and all third party claims, damages, liabilities, costs and expenses, including but not limited to reasonable outside attorneys’ fees, resulting from any breach of any warranty, representation, or agreement made herein.
This agreement and all matters or issues collateral thereto shall be governed by the internal, substantive law of California without regard to the conflicts of law provisions thereof. In any action by Licensor for breach of any provision hereunder, Licensor agrees that its exclusive remedy shall be an action at law for damages and in no event shall Licensor be entitled to injunctive or any other equitable relief. This agreement contains the parties’ entire understanding relative to its subject matter. Nothing in this agreement shall limit or restrict any rights otherwise enjoyed by Producer under law or contract. *

I hereby release the Released Parties (as defined above) from any claims and causes of action I may have against them of any nature whatsoever. I hereby fully and unconditionally guarantee the performance of my child's/ward’s obligations and the grant of rights in and to the results and proceeds of my child's/ward’s activities as set forth above.

PARENT # 2
If participant is under eighteen years of age: I represent and warrant that I am the parent or guardian of the minor whose name appears above. I acknowledge that I have read the foregoing Agreement and am familiar with each and all of the terms contained therein, I am satisfied that the Agreement is fair and equitable, and I hereby give my express consent to its execution by my child/ward and will not revoke my consent at any time. I hereby release the Released Parties (as defined above) from any claims and causes of action I may have against them of any nature whatsoever. I hereby fully and unconditionally guarantee the performance of my child's/ward’s obligations and the grant of rights in and to the results and proceeds of my child's/ward’s activities as set forth above.

If materials are being submitted by a person under 18 years of age:
I/We have read and approve of the foregoing agreement and consent to its execution by my/our child. I/We hereby fully and unconditionally guarantee the performance of my/our child's obligations and the grant of rights in and to my/our child's materials as set forth in the foregoing release, and shall fully indemnify and hold harmless Producer from any damages (including without limitation reasonable attorney fees) which Producer may suffer should I/We or my/our child breach this release and/or make any attempt to disaffirm this release.

CHILD #1
CASTING APPEARANCE RELEASE AND VOLUNTARY PARTICIPATION AGREEMENT
I understand that Entertainment One Reality Productions, LLC (“Producer”) is currently developing an unscripted television project tentatively entitled “Squished” (working title) (the “Program”), and that Producer would like for me to voluntarily participate in casting for potential participation in the production of the Program. In connection therewith, I hereby grant to Producer the right to take motion and still pictures of me and record my voice and any sounds made by me, and to obtain other information about me, including but not limited to my name, likeness, photograph, voice, dialogue, sounds, biographical information, personal characteristics and other personal identification (collectively, the “Footage and Materials”), and to use the Footage and Materials for internal purposes, in any and all media, whether now known or hereafter devised, including in connection with consideration by the network potentially exhibiting the Program (the “Network”) for a potential unscripted competition series (e.g., review by Producer and Network executives and for research and testing purposes, etc.).
2. I agree to participate in connection with casting for the production of the Program and related materials as and to the extent requested by Producer on such dates and at such locations as Producer shall designate in its sole discretion, and which dates and locations Producer may change in its sole discretion. Producer shall be the sole and exclusive owner of all rights (including, without limitation, copyrights) in and to the Footage and Materials. Any and all such Footage and Materials shall be deemed "works made for hire" specially ordered as part of a motion picture or other audio-visual work, and I waive the exercise of any “moral rights,” “droit moral,” and any analogous rights, however denominated, in any jurisdiction of the world, which I have. To the extent I retain any interest in the Footage and Materials, I hereby grant and assign to Producer all rights of any nature in and to all such Footage and Materials. Furthermore, the rights granted to Producer include any so-called “rental and lending” or similar rights and any and all allied, ancillary and subsidiary rights (including, without limitation, remake, sequel, theatrical, digital, television, radio, publishing, merchandising, soundtrack album and other similar rights) for any purpose, by and in any media whether now known or hereafter devised, throughout the universe, in perpetuity, as part of the Program or otherwise. I acknowledge and agree that Producer is under no obligation to select me to participate in the Program or to include the Footage and Materials in the Program.
3. I agree that, without the prior written approval of Producer or Network in each instance, I shall not discuss the Program, my participation in the Program, details regarding the production of the Program, behind-the-scenes matters regarding the Program, the details and/or outcome of the Program and/or any trade secrets, operational methods, business affairs of Network and/or Producer with any third party, except that I may make incidental, non-derogatory mentions that I participated in the Program only after the initial exhibition of the Program. Notwithstanding the foregoing, I may disclose confidential information: (i) to the extent it has already been specifically publicly disclosed by Producer, Network and/or exhibited as part of the Program; (ii) under compulsion of legal process; and (iii) to my attorneys and business representatives, provided such disclosure is on a confidential basis.
4. I understand that Producer will rely on this release and incur substantial expense because I have granted these rights to Producer and consented to the uses described above. I waive and release any claim of defamation, invasion of privacy or publicity, and other claims in connection with such use that I might have against Producer and/or its successors, assigns and licensees. I agree that in no event will I have the right to seek an injunction or other equitable relief or to otherwise prevent the full exploitation of the rights granted in this agreement. This release may be executed with a facsimile signature, and such facsimile signature is deemed an original.

If participant is under eighteen years of age: I represent and warrant that I am the parent or guardian of the minor whose name appears above. I acknowledge that I have read the foregoing Agreement and am familiar with each and all of the terms contained therein, I am satisfied that the Agreement is fair and equitable, and I hereby give my express consent to its execution by my child/ward and will not revoke my consent at any time. I hereby release the Released Parties (as defined above) from any claims and causes of action I may have against them of any nature whatsoever. I hereby fully and unconditionally guarantee the performance of my child's/ward’s obligations and the grant of rights in and to the results and proceeds of my child's/ward’s activities as set forth above.

CHILD #2
CASTING APPEARANCE RELEASE AND VOLUNTARY PARTICIPATION AGREEMENT

Entertainment One Reality Productions, LLC (“we”, “EONE”, “us” or “our”) endeavors to protect your personal information.
